Governance

‍

Establishing ESG governance, roles and consultation structures
‍

Sustainability only becomes achievable once responsibilities, meetings and information flows are clearly defined. Pantarein helps you build a governance structure – from the boardroom and steering committee to operational roles, policies, work processes, mandates and internal reporting. This enables faster, more efficient decision-making.

Why is clear ESG governance crucial?

In many organisations, responsibilities for sustainability are divided informally: part lies with the sustainability team, part with finance and part with procurement. Without formal governance, sustainability remains dependent on individuals rather than embedded in the organisation.

‍

Clearly defined roles make collecting data, reporting and monitoring targets more straightforward. In complex decisions, well-defined mandates make all the difference.

‍

For large companies, legislation such as the CSRD and the CSDDD underlines the importance of governance even further. Both frameworks require demonstrable involvement of the board and executive management in sustainability policy.

‍

Who is this relevant for?

‍

  • Companies where responsibilities for sustainability are allocated informally or unclearly
  • Organisations preparing for CSRD or CSDDD compliance that need demonstrable governance
  • Companies that want to set up or strengthen a sustainability steering committee, ESG committee or permanent consultation structure
  • Organisations where the flow of sustainability information to executive management or the board of directors could be improved
  • Companies that do not yet have formal ESG policies or want to update their policy documents

Our approach

We work in four steps:

‍

  1. Governance scan – We map the current roles, structures and lines of decision-making relating to ESG.
  2. Consultation and decision-making structure – We set up a sustainability steering committee and an ESG committee, and establish a thematic track for each material topic, with its own lead, action plan and target monitoring. Sustainability also gets a permanent place on the agenda of the executive committee and the board of directors. For each body, we define who sits on it, how often it meets, what mandate it has and how decisions are recorded.
  3. Roles and responsibilities matrix – For each topic, we clarify who decides, who carries out the work and who is consulted or informed.
  4. Policy development and embedding in reporting and processes – We draft the necessary policy documents, such as a sustainability policy, code of conduct or topic-specific policies. We also embed mandates in job descriptions, define escalation paths and set up internal reporting lines with fixed formats and frequencies to line management, executive management and the board.

What does it deliver?

  • Clear responsibilities: everyone knows who is responsible for what
  • Faster decision-making: no delays caused by fragmentation or unclear mandates
  • Structured follow-up: thematic tracks monitor action plans, targets and sustainability projects, with timely corrective action when deviations occur
  • CSRD- and CSDDD-compliant governance: the involvement of the board and executive management is demonstrable
  • Documented policies: policy documents that provide direction and serve as evidence in reporting, audits and assessments
